VINCI Construction’s Acquisition of Fletcher Construction

Greenwood Roche advised French construction giant VINCI Construction on its acquisition, through a competitive bidding process, of all of the shares in Fletcher Construction Holdings Limited, a subsidiary of Fletcher Building. The sale and purchase was completed late May 2026 after clearing regulatory approvals.
Through Fletcher Construction, VINCI Construction has acquired the businesses of Higgins Contractors Limited and Brian Perry Civil, as well as that of Fletcher Construction Major Projects. The acquisition strengthens VINCI Construction’s proximity network of local companies in New Zealand, where it already owns HEB Construction, SOL Quarries and Wharehine Group, and positions VINCI Construction as a major player in New Zealand’s highly dynamic and growing infrastructure market.
Fletcher Construction generates annual revenues of around NZ$1.3 billion and employs over 2,300 people in New Zealand. Its main areas of expertise cover hydraulic, maritime, port, airport, railway and road works. In addition, it has a growing volume of renewable energy construction work.
We advised on all legal aspects of the transaction including extensive construction contract, resource management, property and commercial due diligence, transaction structuring and negotiation/drafting, regulatory approvals, conditions satisfaction including counterparty consents and assignments and successful completion. The Greenwood Roche team was seamlessly supported by specialist advice from A&B Competition Lawyers and BE Employment Law.
We congratulate VINCI Construction on its acquisition and growth in the New Zealand market.
